Paperback. Etat : New. Print on Demand. This book brings to light an extensive look at the legal disputes surrounding the Banking Act of 1838. The New York legal community raised objections to the legislation on the grounds that it violated the state constitution's restriction on the creation of corporations. The author methodically examines the arguments presented during the case, finding that the banking associations authorized by the act lack several of the quintessential characteristics of a corporation. The author argues that corporations have four essential features: a collective existence, the right to sue or be sued in their corporate name, the legal authority to hold property, and the exclusive power to create their own bylaws. As banking associations were not found to have all of these requirements, the court case determined the associations authorized by the act were not corporations. Ultimately, the book explores whether banking associations can be considered a type of voluntary association with different legal parameters than corporations.
