This book analyzes the shift in the functional backgrounds of CEOs in major U.S. manufacturing firms from 1981 to 1992, a period of significant change in corporate governance. The author extends the theory of circulation of elites and applies it to the selection of functional backgrounds of new CEOs, arguing that the circulation of managerial elites entails both political contests for the top executive positions in corporations and ideological struggles over defining the corporate purpose. The book examines how strategic contingencies, institutional factors, and intraorganizational political dynamics shape CEO selection. It finds that intraorganizational political dynamics, including the circulation of elites, add to explanations of CEO selection based on strategic contingencies and institutional isomorphism. Furthermore, there is evidence of a decline in finance CEOs and a change in the strategic contingencies that previously favored finance and the finance conception of control. The book's insights are significant because they suggest that conceptions of control associated with the power of various subunits are best viewed as styles or conventions rather than institutions, and that these styles are subject to contestation and change.
