This book examines the relationship between key board characteristics and board effectiveness, offering valuable evidence from an emerging economy. Unlike much of the existing research, which focuses on firm performance and developed markets, this study centres on how boards actually function and perform their roles.Drawing on research from developed economies, the author develops a theoretical framework and hypotheses to examine the effects of board size, CEO duality, board independence, board diversity and board human capital on board effectiveness, including the role of selected mediating factors.The empirical findings reveal that most board characteristics have no significant impact on board effectiveness, with professional human capital emerging as an important exception. The book offers fresh insights into corporate governance and will be valuable to directors, investors, executives, regulators, academics and anyone interested in the effective functioning of boards.
