Sie reichen von der Zulässigkeit von Drittanstellungsverträgen in der unabhängigen Aktiengesellschaft und im Konzernverbund, der Vergütungszusage eines Dritten bis hin zu Anreizprogrammen von Dritten, die den Vorstand auf die von dem Dritten als richtig verstandene Unternehmenspolitik festlegen und hierfür belohnen soll. In Frage stehen dabei jeweils die Reichweite der Personalkompetenz des Aufsichtsrats nach § 84 AktG, die Leitungsunabhängigkeit des Vorstands nach § 76 AktG und die Regelungen zur Vorstandsvergütung in § 87 AktG.
